    1. Introduction

    These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and IdeaJudge Inc. ("IdeaJudge," "we," "us," or "our"). These Terms apply to your access to and use of the IdeaJudge website, services, products, and content (collectively, "Services"). By subscribing to or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, do not access or use the Services.

    2. Definitions

    Services
    means all subscription-based offerings provided by IdeaJudge, including but not limited to the Innovation Scout and Competitor Analyst products.
    Subscriber
    means any business or organization that signs up for or uses the Services.
    Subscription Fee
    means the payment you agree to pay in exchange for access to the Services, as displayed on the pricing page.

    3. Subscription & Fees

    3.1 Subscription. IdeaJudge offers subscription-based access to its AI-driven monitoring services, which include continuous monitoring of new patent application publications and delivery of decision briefings and alerts tailored to your product focus.
    3.2 Fees & Payment. Subscription Fees are set forth on the pricing page at the time of purchase and are exclusive of applicable taxes, duties, or levies. You authorize us to charge your chosen payment method for all fees and charges associated with your subscription in accordance with the prices posted on the pricing page. Subscription access will remain active until cancellation or termination.
    3.3 No Refunds Unless Required by Law. Except as expressly provided in these Terms, Subscription Fees are non-refundable.

    4. Eligibility and Usage Scope

    4.1 Business Use Only. You represent and warrant that you are subscribing on behalf of a business or organization, and all information provided during signup is accurate and complete.
    4.2 SME-Focused Plan Definition. The Core subscription plan is designed for small and medium-sized enterprises with a narrow, clearly defined product focus. The Services may include AI-mapped product focus, prioritized high-relevance decision briefings, alerts, and related deliverables.
    4.3 Plan Boundaries & Migration. Decision briefings and related deliverables are prioritized and delivered based on relevance and product focus alignment. If your usage, product scope, or monitoring needs extend beyond the intended scope of your selected plan, including but not limited to broad category or multi-division monitoring, IdeaJudge may recommend or require migration to an expanded or higher-volume subscription. Continued access to additional briefing capacity or broader monitoring scope will be subject to applicable subscription terms and fees.

    5. Access & Use of Services

    5.1 Grant of Access. Subject to your compliance with these Terms and payment of applicable Subscription Fees, IdeaJudge grants you a limited, non-exclusive, non-transferable right to access and use the Services during the subscription term.
    5.2 Account Responsibility. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
    5.3 Restrictions. You may not (a) resell or redistribute the Services; (b) interfere with any other user's access; or (c) reverse engineer or copy the Services.

    6. Intellectual Property

    All software, graphics and interface designs used or provided as part of the Services are owned by IdeaJudge. No rights are transferred to you except as expressly stated in these Terms.

    7. Privacy and Data Protection

    Your use of the Services is subject to the IdeaJudge Privacy Policy, which explains how we collect, use, and share your personal information.

    8. Disclaimer & Limitation of Liability

    8.1 "As Is" Basis. The Services are provided "as is" and "as available," without any warranty of uninterrupted service or error-free operation.
    8.2 Limitation of Liability. To the maximum extent permitted by applicable law, IdeaJudge's liability arising from or related to these Terms or the Services shall not exceed the total Subscription Fees paid by you in the 12 months preceding the claim. In no event shall IdeaJudge be liable for any indirect, incidental, consequential, or punitive damages.

    9. Governing Law

    These Terms are governed by the laws of Delaware, USA. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

    10. Changes to Terms

    IdeaJudge may modify these Terms at any time. If changes are material, we will notify you by email or through a notice on our website. Continued use of the Services after modification constitutes acceptance of the updated Terms.

    11. Termination

    IdeaJudge may suspend or terminate your access to the Services if you breach any provision of these Terms or if required by law. Termination does not relieve you of any payment obligations accrued prior to termination.
